Terms and Conditions
For SUGRiA Pan-African Project Participants and Partners — training, capacity-building, apprenticeship and partnership engagements.
For Participants and Partners
Nature of SUGRiA
SUGRiA Pan-African Project is a not-for-profit initiative established to train Participants in agricultural and allied skills, and to work with Partners across various sectors to achieve its wider goals and objectives of sustainable agricultural and economic development across Africa. SUGRiA raises funding from donors, grants, partners, and training fees charged for each training session.
No Inducement
No employee, agent, coordinator, contractor, or representative of SUGRiA is authorised to induce, mislead, promise, or influence any Participant or Partner with any representation, promise, or guarantee outside the official written agreements, guidelines, or communications of SUGRiA.
No Reliance on Informal Statements
Participants and Partners shall not rely on any oral statement, promise, representation, or assurance made outside the official written agreements, guidelines, or communications of SUGRiA. No employee, coordinator, contractor, or agent of SUGRiA has the authority to vary, override, or contradict these Terms or any official SUGRiA programme or partnership document.
No False Representations
Participants and Partners confirm that they have not made, and shall not make, any false, misleading, or fraudulent statement, representation, or document to SUGRiA, its coordinators, staff, or agents, for the purpose of gaining admission into any programme, securing any engagement, or inducing SUGRiA to disburse funding. Any false representation discovered shall entitle SUGRiA to disqualify or terminate its engagement with the relevant party, recover any funds disbursed, and pursue all available civil and criminal remedies.
No Fraud or Misrepresentation by SUGRiA
These Terms confirm that no fraud, false pretence, misrepresentation, or inducement of any kind has occurred or been made by SUGRiA, its directors, staff, coordinators, contractors, or agents in connection with any Participant's registration and training, or any Partner's engagement, contract, or funding arrangement.
Truthfulness of Declarations
Any declaration made by a Participant or Partner in connection with these Terms may be tendered in evidence and relied upon by SUGRiA Pan-African Project, regulatory bodies, donors, partners, or any court of law or tribunal. Any false statement made may render the relevant party liable to prosecution under the relevant provisions of the law governing perjury and false declarations, where such declaration is made on oath.
Governing Law and Acceptance
These Terms are governed by the applicable laws of the Federal Republic of Nigeria. By registering as a Participant, or by entering into any engagement as a Partner, the relevant party acknowledges that they have read, understood, and voluntarily agree to be bound by these Terms and Conditions.
For Participants
This Part applies specifically to Participants registered under SUGRiA's training, capacity-building, and apprenticeship programmes.
Voluntary Participation
Participants register for and attend SUGRiA's training programmes voluntarily, solely for the purpose of learning, capacity-building and skills acquisition. Registration and attendance are not made under any inducement, promise, representation, or guarantee that the participant will receive funding, a grant, a loan, or any other financial benefit as a condition of, or reward for, attending such training.
No Entitlement to Funding
The funding of any project, participant, or partner is entirely within the sole discretion and prerogative of SUGRiA. Funding is not a right, entitlement, or automatic consequence of registration for, payment for, or attendance at any training session.
Source and Allocation of Funds
Training fees paid by participants, together with donations and grants received by SUGRiA, are pooled to fund only such projects as SUGRiA, in its sole discretion, deems viable, following its own internal assessment, due diligence, and vetting process.
Payment and Attendance Do Not Create Entitlement
Payment of a training fee, or attendance at and completion of any training programme, does not in itself create any entitlement, right, expectation, or legitimate claim to funding, a grant, or any other financial disbursement from SUGRiA.
What Participation Entitles the Participant To
Payment of a training fee and/or attendance at training entitles the participant to access to the SUGRiA Pan-African Project participants' and partners' community, where knowledge, resources, mentorship, and networking opportunities are shared among members, and nothing more.
Project Proposals and Assessment
Where a participant submits a project proposal or project plan for funding consideration, such proposal or plan shall be subjected to a full and independent assessment of its viability by SUGRiA. SUGRiA reserves the unfettered right to approve, reject, modify, or request further information in respect of any proposal or project plan.
Monitoring, Audit and Recovery of Funded Projects
Where any project, proposal, or project plan is approved and funded, in whole or in part, by SUGRiA, the participant irrevocably consents and agrees that SUGRiA shall have the right, at its sole discretion and at any time, to:
- monitor, inspect, supervise, and audit the project and the use of funds disbursed;
- request and receive periodic reports, accounts, and supporting documentation regarding the use of such funds;
- withhold, suspend, or withdraw further disbursement of funding where it reasonably believes the project is not being implemented in accordance with SUGRiA's rules, regulations, guidelines, or agreed terms; and
- demand and recover a full or partial refund of funds disbursed where the project, participant, or partner fails to comply with SUGRiA's stated rules, regulations, or agreed terms, or applies such funds to any purpose other than that for which they were disbursed.
Virtual Wallet System (Participants)
SUGRiA operates a virtual wallet system to reflect, record, or represent amounts allocated, earmarked, or credited to a participant or partner within SUGRiA's internal systems. Any figure, balance, or entry shown in a participant's virtual wallet is a notional and administrative record only, remaining at all times entirely under the control, custody, and disposition of SUGRiA, and does not constitute actual cash, a completed disbursement, a debt owed to the participant, or property in the participant's possession or control.
No Reliance on Wallet Balances
Participants shall not treat, interpret, or rely upon any balance, figure, or entry appearing in their virtual wallet as a representation, guarantee, or admission by SUGRiA that funds have been paid to them, are immediately due to them, or are unconditionally theirs. Access to, withdrawal of, or release of any sum reflected in the virtual wallet remains conditional upon SUGRiA's rules, regulations, verification processes, and continued approval.
Right to Adjust Wallet Balances
SUGRiA reserves the unfettered right, at its sole discretion, to adjust, reduce, suspend, freeze, or reverse any entry or balance in a participant's virtual wallet at any time, including where the participant is found to be in breach of SUGRiA's rules and regulations, where a proposal or project plan is altered, withdrawn, or rejected after preliminary allocation, or where SUGRiA's own assessment or audit processes so require. No such adjustment shall amount to fraud, deception, or false pretence on the part of SUGRiA.
Acknowledgement of Programme Rules
By participating, the participant confirms that they have read and understood, or have had read and explained to them in a language they understand, the rules, regulations, guidelines, and terms governing SUGRiA training, the Pioneer Pathways Programme, and any funding process, and that they freely, voluntarily, and without duress or coercion of any kind, agree to be bound by them.
Release and Discharge (Participants)
Participants hereby release and forever discharge SUGRiA Pan-African Project, its directors, officers, employees, coordinators, contractors, agents, and partners from any and all claims, liabilities, demands, or causes of action arising from their expectation of, or failure to receive, training, certification, Community Membership, funding, a grant, or any other benefit or opportunity under any SUGRiA programme, whether such expectation relates to the quality, timing, continuation, or completion of training, or to funding or financial disbursement, save where such failure arises from the proven fraud or wilful misconduct of SUGRiA itself.
Registration Declarations

- The participant understands that a referral code and referral earnings are only available to participants SUGRiA has granted referral access to, and that SUGRiA may grant or withdraw referral access at any time. Withdrawing referral access does not affect referral earnings already credited.
- The participant will not create false, duplicate, or misleading registrations for the purpose of satisfying referral or community requirements.
- The participant understands that the Training Package, Training Materials, and Certification are optional, and can be paid for at any time after registering, from the Platform Dashboard.
- The participant understands that payment for the Training Package and Certification is separate from access to the free training.
- The participant understands that they must achieve at least 85% attendance to satisfy the attendance requirement for Community Membership.
- The participant understands that they must successfully complete the applicable certification requirements.
- The participant understands that Community Membership is only confirmed after all applicable requirements have been fulfilled and verified.
- The participant agrees to comply with SUGRiA's rules, policies, training requirements, and community guidelines.
- The participant agrees to treat other participants, community members, staff, and representatives with respect.
- The participant understands that SUGRiA projects and opportunities may have additional eligibility and selection requirements.
- The participant understands that Community Membership does not guarantee employment, funding, grants, contracts, project awards, or financial benefits.
- The participant consents to SUGRiA processing their registration information for programme administration, verification, communication, and related legitimate programme purposes.
- The participant agrees to receive relevant communications relating to SUGRiA programmes, training, community activities, and opportunities.
For Partners
This Part applies specifically to Partners who work with SUGRiA to help achieve its goals and objectives, and who are not trained under SUGRiA's programmes.
Nature of Partnership
A Partner works with SUGRiA under an agreed contract, arrangement, or collaboration to help achieve SUGRiA's goals and objectives across its various programmes, including but not limited to the supply of goods, provision of services, or collaboration on shared initiatives. A Partner's engagement is not a training relationship, and these Terms shall not be construed as implying that a Partner is a trainee or apprentice of SUGRiA.
No Entitlement Beyond Agreed Terms
Engagement as a Partner does not create any entitlement, right, or automatic expectation to funding, continued engagement, contract renewal, or future project awards. Any funding, disbursement, or engagement with a Partner is entirely within the sole discretion of SUGRiA and shall be governed solely by the express terms of the applicable working contract or agreement signed between the Partner and SUGRiA.
Performance of Agreed Obligations
A Partner agrees to perform its obligations as set out in the applicable working contract, agreement, purchase order, or other written arrangement with SUGRiA, and to comply with SUGRiA's rules, regulations, guidelines, and quality standards in the course of that engagement.
Certification Requirement
Where applicable, a Partner engaged under a SUGRiA programme is required to hold, or to engage and pay for, certification from a recognised professional body as specified in the applicable approval letter or working contract, within the time allowed under that letter or contract.
Monitoring, Audit and Compliance
SUGRiA reserves the right, at its sole discretion and at any time, to monitor, inspect, supervise, and audit the performance of any Partner under an agreed engagement, and to request and receive periodic reports, accounts, and supporting documentation relating to that engagement.
Wallet and Disbursement System (Partners)
Where a Partner's engagement involves the disbursement of funds by SUGRiA, such funds shall be reflected in a virtual wallet system in accordance with the applicable working contract. Any figure, balance, or entry shown in a Partner's virtual wallet is a notional and administrative record only, remaining at all times entirely under the control, custody, and disposition of SUGRiA until released strictly in accordance with the terms of the applicable working contract, and does not constitute actual cash, a completed disbursement, or property in the Partner's possession or control until so released.
Right to Withhold, Suspend, or Recover Disbursements
SUGRiA reserves the unfettered right, at its sole discretion, to withhold, suspend, or withdraw further disbursement of funding, and to demand and recover a full or partial refund of funds disbursed, where a Partner fails to comply with the rules, regulations, guidelines, or agreed terms of the applicable working contract, or applies such funds to any purpose other than that for which they were disbursed.
Branding and Use of Materials
Where a Partner supplies goods or services under a SUGRiA programme, such goods must bear SUGRiA's own branding and not the Partner's, unless otherwise expressly agreed in writing.
Confidentiality
A Partner agrees to keep confidential any non-public information shared by SUGRiA in the course of the partnership, and not to disclose such information to any third party without SUGRiA's prior written consent.
No Guarantee of Continued Engagement
Recognition as a SUGRiA Partner, or the successful completion of one engagement, does not guarantee continued engagement, renewal of contract, or the award of future projects. Each engagement is separately assessed and agreed on its own terms.
Release and Discharge (Partners)
A Partner hereby releases and forever discharges SUGRiA Pan-African Project, its directors, officers, employees, coordinators, contractors, agents, and other partners from any and all claims, liabilities, demands, or causes of action arising from its expectation of, or failure to receive, continued engagement or funding beyond the express terms of its signed working contract, save where such failure arises from the proven fraud or wilful misconduct of SUGRiA itself.
